Overview

These Terms of Use ("Terms") are a legal agreement between you and Fero Health, Inc. ("Fero", "we", "us") governing your access to and use of the Fero Health mobile application, website (ferohealth.com), and any related services (collectively, the "Service").

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

Eligibility

You must be at least 18 years old to use Fero. By using the Service, you confirm that you are 18 or older and have the legal capacity to enter into a binding agreement.

The Service is currently available to users in the United States. We may expand availability over time. Use of the Service from jurisdictions where it is not authorised is at your own risk and may violate local laws.

Your account

To access certain features of the Service, you will need to create an account. You agree to:

• Provide accurate, current, and complete information when registering
• Keep your login credentials secure and not share them with others
• Notify us immediately if you suspect unauthorised access to your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or used in violation of these Terms.

Health disclaimer

Always consult a qualified healthcare provider — including a urologist, endocrinologist, or reproductive specialist — before making decisions about your fertility or health based on information from Fero.

Fero does not diagnose medical conditions, prescribe treatments, or replace clinical testing. If you have concerns about your fertility or reproductive health, seek professional medical attention.

The Fero Score is a composite metric designed to help you understand trends in your health data over time. It is not a clinical diagnostic tool and should not be interpreted as such.

Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service in any way that violates applicable local, national, or international law
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Scrape, crawl, or systematically extract data from the Service
• Upload or transmit viruses, malware, or any other harmful code
• Use the Service to harass, harm, or impersonate any person
• Misrepresent your identity or affiliation when using the Service

We reserve the right to investigate and take appropriate action — including account termination — against any user who violates these provisions.

Intellectual property

The Service and all its content — including but not limited to software, text, graphics, logos, icons, and the Fero Score methodology — are the property of Fero Health, Inc. and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your personal, non-commercial use. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our prior written consent.

You retain ownership of any health data you input into the Service. By using the Service, you grant us a limited licence to process that data solely to provide the Service to you, as described in our Privacy Policy.

Third-party services

The Service may integrate with or link to third-party services, including wearable platforms such as Oura and Whoop. These integrations are optional and subject to the terms and privacy policies of those third parties.

Fero is not responsible for the content, accuracy, or practices of any third-party service. Your use of third-party integrations is at your own risk.

Limitation of liability

To the fullest extent permitted by law, Fero Health, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of — or inability to use — the Service.

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.

Termination

You may stop using the Service at any time and request deletion of your account by contacting us at the address below.

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or if we discontinue the Service.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimer, liability, and governing law sections — will continue to apply.

Governing law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in Miami, Florida, except that either party may seek injunctive relief in a court of competent jurisdiction.

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and update the "Last updated" date at the top of this page. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

If you do not agree to the updated Terms, you must stop using the Service and may request deletion of your account.
